1. Acceptance of terms

Welcome to Hemsatech. These Terms and Conditions ("Terms") govern your access to and use of the hemsatech.com website and any related services provided by Hemsatech ("Hemsatech", "we", "us", or "our"). By accessing or using the website or services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use the website or services. By continuing to use the site after any update, you accept the revised Terms.

2. Definitions

  • "Hemsatech", "we", "our", "us" means Hemsatech.
  • "You", "your" means any visitor or user of the website or services.
  • "Services" means the website, any products we offer (including Helpence), and any custom software engineering, product development, or consulting services we provide under a separate written engagement.
  • "Website" means hemsatech.com and any subdomains, pages, or content we publish under that domain.
  • "Content" means any text, graphics, images, audio, video, code, design, or other material available through the Services.

3. Services

Hemsatech provides software development services, custom engineering, and products - including our flagship product Helpence. The specific scope, deliverables, pricing, and terms of any paid engagement are defined in a separate written agreement between you and Hemsatech. These Terms govern your general use of the website and any free interactions (such as browsing, submitting contact forms, or similar).

In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement will prevail with respect to the services covered by it.

4. Use of the website

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the website for lawful, personal, or internal business purposes in accordance with these Terms. This licence does not include the right to resell or commercially exploit the website or its content, to collect product information for a competing service, or to use any data mining, robots, or similar data-gathering tools.

You are responsible for ensuring that your use of the website complies with all applicable laws, regulations, and any guidelines we publish from time to time.

5. Acceptable use

You agree not to use the website in any way that:

  • Violates any applicable law, regulation, or third-party right.
  • Infringes any intellectual property, publicity, privacy, or other right of Hemsatech or any third party.
  • Transmits viruses, malware, worms, or any other harmful or disruptive code.
  • Attempts to probe, scan, or test the vulnerability of the website or any connected network, or to breach security or authentication measures.
  • Reverse-engineers, decompiles, or disassembles any part of the website, except to the extent permitted by applicable law.
  • Uses automated systems (including robots, spiders, scrapers) to access, monitor, or copy any content without our prior written permission.
  • Impersonates any person or entity, or misrepresents your affiliation with any person or entity.
  • Harvests or collects information about other users.
  • Engages in any activity that could damage, disable, overburden, or impair the website or interfere with any other party's use of the website.

6. Intellectual property

All intellectual property rights in and to the website and its Content - including text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layouts, underlying code, and software - are owned by Hemsatech, its licensors, or other providers of such material, and are protected by copyright, trademark, and other intellectual property laws.

You may view, download, and print content from the website for personal, non-commercial use only, provided that you do not modify the content and that you retain all copyright and proprietary notices. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our website without our prior written permission.

Trademarks, service marks, and logos displayed on the website (including "Hemsatech" and "Helpence") are the property of Hemsatech or their respective owners. Nothing in these Terms grants you any right or licence to use any such trademarks.

7. User submissions

When you submit content to us - including inquiries, project details, messages, feedback, or any other material (collectively, "Submissions") - you represent and warrant that:

  • You own or control all rights in and to the Submissions, or have the necessary permissions to share them with us.
  • The Submissions do not violate any law or infringe any third-party right.
  • The information you provide is accurate, complete, and up to date.

By making a Submission, you grant Hemsatech a worldwide, royalty-free, non-exclusive licence to use, store, process, and disclose that Submission for the purpose of responding to you, providing services, and improving our offerings. You retain ownership of your Submissions.

We are not obliged to maintain the confidentiality of any Submission unless we have entered into a separate written non-disclosure or engagement agreement with you.

9. Disclaimers

The website and any content provided through it are made available on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Hemsatech disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that:

  • The website will be uninterrupted, timely, secure, or error-free.
  • The information on the website will be accurate, complete, reliable, or current.
  • Defects in the website will be corrected.
  • The website or the servers that make it available are free of viruses or other harmful components.

10. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Hemsatech, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages - including, without limitation, loss of profits, loss of revenue, loss of data, loss of goodwill, or other intangible losses - arising out of or in connection with your access to or use of (or inability to access or use) the website or services, whether based on warranty, contract, tort, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Notwithstanding anything to the contrary in these Terms, Hemsatech's aggregate liability to you for any claim arising out of or relating to these Terms or the services shall not exceed the greater of (a) the total amount you paid to Hemsatech in the twelve (12) months preceding the event giving rise to the claim, or (b) INR 10,000.

Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

11. Indemnification

You agree to defend, indemnify, and hold harmless Hemsatech and its directors, officers, employees, affiliates, agents, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or related to:

  • Your use of or access to the website or services.
  • Your breach of these Terms.
  • Your violation of any applicable law or third-party right, including any intellectual property or privacy right.
  • Any content you submit to us.

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of such claim.

12. Termination

We may suspend, restrict, or terminate your access to the website or services at any time, with or without notice, for any reason - including if we believe you have violated these Terms. Upon termination, your right to use the website will cease immediately.

All provisions of these Terms which by their nature should survive termination will survive - including provisions relating to intellectual property, Submissions, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

13. Governing law & jurisdiction

These Terms and your use of the website and services are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws provisions. You and Hemsatech agree that the competent courts in New Delhi, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the services.

14. Dispute resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at info@hemsatech.com. We will make a good-faith effort to resolve the matter. If the dispute is not resolved within thirty (30) days from the date we receive your notice, either party may pursue other legal remedies available under applicable law, subject to the jurisdiction clause above.

You agree that any claim you may have arising out of or related to the website or services must be filed within one (1) year after such claim arose; otherwise, the claim is permanently barred.

15. Changes to these terms

We may revise these Terms at any time by updating this page. When we do, we will update the "Last updated" date at the top of the page. Your continued use of the website after any change constitutes your acceptance of the revised Terms. If you do not agree to any revision, you should stop using the website.
